SAFE
Also known as simple agreement for future equity
A SAFE is an agreement in which an investor pays now for shares issued later, usually at the next priced round, without setting a valuation or creating debt at the time of investment.
Why It Matters
It makes early fundraising fast and cheap, and it defers dilution to a later round, where several stacked SAFEs can convert into more ownership than founders expected.
Related Terms
- Convertible NoteA convertible note is a loan that converts into shares at a later financing, typically carrying interest and a maturity date until it does.
- DilutionDilution is the reduction in an existing holder's percentage ownership when a company issues new shares.
- Cap TableA cap table is the record of who owns a company: founders, employees, investors, and the options and convertible instruments that will become shares.
- Pre SeedPre-seed is the earliest outside funding a company takes, often from founders, angels or small funds, raised on a plan and a prototype rather than on traction.
